# Phase 69 Complete: Proxy Fight Tracker ✅
**Build Task:** ISS/Glass Lewis recommendations, shareholder voting, proxy contest outcomes
## Deliverables Completed
### 1. ✅ Core Module: `modules/proxy_fights.py` (511 LOC)
Implemented real functionality using free SEC EDGAR APIs:
#### Data Sources
- **SEC EDGAR DEF 14A**: Definitive proxy statements (annual meeting materials)
- **SEC EDGAR DEFA14A**: Additional proxy soliciting materials
- **SEC EDGAR PREC14A/DEFC14A**: Contested proxy filings (activist campaigns)
- **SEC EDGAR 8-K Item 5.07**: Shareholder voting results from annual meetings
- **SEC Company Tickers JSON**: Ticker-to-CIK mapping (updated quarterly)
#### Implemented Functions
1. **`get_cik_from_ticker(ticker)`** - Convert stock ticker to SEC CIK number
2. **`fetch_proxy_filings(ticker, years=3)`** - Retrieve DEF 14A, DEFA14A, 8-K proxy materials
3. **`detect_contested_proxies(ticker)`** - Identify proxy contests via PREC14A/DEFC14A filings
4. **`fetch_voting_results(ticker)`** - Parse 8-K Item 5.07 for shareholder vote outcomes
5. **`analyze_proxy_advisory(ticker)`** - ISS/Glass Lewis subscription info + free alternatives
6. **`proxy_summary(ticker)`** - Comprehensive analysis with risk scoring (0-100)
#### Risk Assessment Algorithm
The module calculates a proxy contest risk score (0-100) based on:
- **Active contests** (+50 points): PREC14A/DEFC14A filed within 6 months
- **Recent contests** (+30 points): Contested filings within 6-12 months
- **Historical contests** (+10 points): Past proxy battles
- **Multiple contested filings** (+20 points): More than 3 contested documents
- **Excessive additional materials** (+10 points): >5 DEFA14A filings (complexity signal)
Risk levels: **Low** (0-29), **Moderate** (30-59), **High** (60+)
### 2. ✅ CLI Integration: `cli.py` (updated)
Added 5 new commands to the CLI dispatcher:

## Technical Implementation Details
### SEC EDGAR Integration
1. **CIK Resolution**: Uses SEC's official company tickers JSON (`/files/company_tickers.json`)
2. **Rate Limiting**: Respects SEC's 10 requests/second rate limit
3. **User-Agent**: Sets proper User-Agent header as required by SEC
4. **HTML Parsing**: Regex-based extraction of filing dates and accession numbers
5. **Document URLs**: Generates direct links to SEC viewer for each filing

2. Provides website links for institutional clients
3. Offers **free alternatives**:
- Monitor contested proxy filings via SEC EDGAR
- Track voting results in 8-K Item 5.07 filings
- Review company investor relations pages
This transparency helps users understand data limitations and alternative approaches.

## Limitations & Future Enhancements
### Current Limitations
1. **SEC HTML Parsing**: SEC does not provide structured JSON for filings list. Current implementation uses regex on HTML (fragile but functional).
2. **Voting Detail Extraction**: 8-K Item 5.07 contains voting data, but detailed vote counts require manual document review.
3. **ISS/Glass Lewis Data**: Paid subscriptions required. Module documents this limitation transparently.
### Future Enhancements (Phase 70+)
1. **SEC XBRL Parsing**: Use structured data API once available
2. **NLP Vote Extraction**: Parse 8-K Item 5.07 text to extract vote counts automatically
3. **ISS API Integration**: Add ISS/Glass Lewis integration for institutional clients with subscriptions
4. **Historical Outcomes Database**: Track proxy contest outcomes (activist wins/losses)
5. **Machine Learning**: Predict proxy contest outcomes based on governance metrics
