### Pay-for-Performance Alignment Score (0-100)
Calculated based on:
1. **Stock-based compensation %** (max 50 points) - Higher is better
2. **Positive return correlation** (max 30 points) - Rewards performance
3. **Reasonable pay ratio** (max 20 points) - Prevents excess
### Ratings
- **Excellent:** ≥80 points
- **Good:** 60-79 points
- **Fair:** 40-59 points
- **Poor:** <40 points
### Shareholder Alignment Factors
1. **Insider ownership %** - Higher = better alignment
2. **Net insider buying/selling** - Buying = positive signal
3. **Stock-based comp %** - Higher = better alignment
## Data Source Notes
### SEC EDGAR DEF 14A
- Primary source for executive compensation
- Requires CIK lookup and HTML table parsing
- Simplified implementation (full parsing is complex)
- Falls back to Yahoo Finance when unavailable
### Yahoo Finance
- Provides officer names, titles, and total compensation
- May not include detailed breakdown (salary vs stock awards)
- Used as fallback and for stock performance data
### Insider Transactions
- 6-month lookback window
- Tracks buys, sells, net shares, net value
- Uses yfinance insider_transactions when available
## Known Limitations
1. **Stock Return Data:** Some tickers showing 0% returns - may be data connectivity issue
2. **Compensation Breakdown:** Yahoo Finance doesn't always provide salary/bonus/stock splits
3. **SEC Parsing:** Simplified DEF 14A parsing - production would need sophisticated table extraction
4. **Peer Detection:** Basic peer mapping - could be enhanced with sector/industry clustering

2. OpenInsider web scraping for comprehensive insider data
3. Multi-year compensation trend analysis
4. Option exercise tracking and vesting schedules
