PROPRIETARY SOFTWARE LICENSE AGREEMENT This Proprietary Software License Agreement (the "Agreement") is a legal agreement between you (either an individual or a single entity) and ReuneMacacada ("Licensor") for the software product identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("Software"). BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE. 1. GRANT OF LICENSE Subject to the payment of applicable license fees and subject to the terms and conditions of this Agreement, Licensor hereby grants to you a limited, non-exclusive, non-transferable license to use the Software solely for your internal business purposes. 2. SUBSCRIPTION MODEL Access to and use of the Software is provided on a subscription basis. You must maintain an active subscription to continue using the Software. Subscription fees are non-refundable. 3. RESTRICTIONS You may not: a. Copy, modify, or create derivative works of the Software b. Reverse engineer, decompile, or disassemble the Software c. Rent, lease, lend, sell, redistribute, sublicense, or transfer the Software d. Remove or alter any proprietary notices or labels on the Software e. Use the Software for any illegal purpose or in any manner that violates applicable laws or regulations f. Share access credentials or otherwise enable unauthorized users to access the Software 4. OWNERSHIP The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights therein. 5. TERMINATION This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from Licensor if you fail to comply with any term of this Agreement. Upon termination, you shall cease all use of the Software and destroy all copies of the Software in your possession. 6. DISCLAIMER OF WARRANTIES THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. 7. LIMITATION OF LIABILITY IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE. 8.
